I have the Wood Herman version of "Too Late" from Decca 4293 recorded 
on 28 Aug 1941 (not 1949).
Composer credit is (Wakely).
Whoever he or she may be.
Paul Barbarin also wrote a "Too Late". Recorded for Good Time Jazz (L 
12019) by his New Orleans Band on 21 April 1956.
